IMPORTANT NOTICE
By accessing, browsing, or using any feature of the SODASPACE platform, the user acknowledges that they have read, understood, and fully accepted these Terms and Conditions of Use. If the user does not agree with any provision contained herein, they must refrain from using the platform.

ARTICLE 1 — PURPOSE AND NATURE OF THE PLATFORM
These Terms and Conditions of Use (the “Terms”) govern access to and use of the website and all digital services provided through the SODASPACE platform (collectively, the “Platform”), operated by ASDF NETWORK LATAM S.A.S. (“SODASPACE” or the “Company”).
SODASPACE operates as a technology-enabled institutional intermediation platform connecting internationally mobile professionals, expatriates, digital nomads, diplomatic personnel, housing operators, and corporate mobility teams across Latin America.
The Platform provides digital verification and relocation support services through proprietary validation workflows that confirm identity, financial reliability, and professional credentials before housing placement.
ARTICLE 2 — USERS AND ELIGIBILITY
2.1 User Categories
The Platform is intended for the following user categories:
Individual Users: Adults seeking flexible or long-term housing solutions in Latin America.
Operators: Property owners, housing operators, co-living providers, furnished rental operators, and multifamily operators.
Corporate Clients: Multinational companies, embassies, educational institutions, and organizations managing employee relocation programs.
2.2 Eligibility Requirements
To access SODASPACE verification and certification services, users must:
Be at least 18 years of age or the legal age of majority in their jurisdiction.
Have legal capacity to enter into binding agreements.
Hold at least one active bank account compatible with the financial verification systems integrated into the Platform.
Not have been previously suspended or removed from the Platform.
Provide explicit consent for the processing of biometric and financial data in accordance with the SODASPACE Privacy Policy.
ARTICLE 3 — DESCRIPTION OF SERVICES
3.1 Lite Plan
The Lite plan includes identity verification, document authentication, and financial validation services through authorized digital verification systems. Pricing is subject to applicable taxes and local regulations.
3.2 Pro Plan
The Pro plan includes all Lite features together with enhanced financial verification, digitally signed certification credentials, advanced verification records, and priority access to the SODASPACE housing network.
3.3 Corp Plan
The Corp plan is designed for institutional and enterprise relocation programs and may include multi-user management dashboards, dedicated account support, reporting tools, compliance documentation, and enterprise relocation services.
Specific commercial conditions are governed by the corresponding Service Level Agreement (“SLA”) executed between the parties.
3.4 Nature of the Services
SODASPACE acts solely as a technology and relocation intermediary. The Company is not a party to any lease agreement executed between users and housing operators.
SODASPACE does not guarantee the availability of specific properties, lease approval by any operator, or the performance of contractual obligations between third parties.
ARTICLE 4 — USER ACCOUNTS AND SECURITY
Users accessing the Platform must provide accurate, complete, and updated information during registration and throughout the use of the services.
Users are solely responsible for maintaining the confidentiality of their login credentials and for all activities conducted through their accounts.
Users agree to:
Notify SODASPACE immediately of any unauthorized use of their account.
Log out from shared or public devices after each session.
Refrain from transferring or granting third-party access to their accounts.
SODASPACE will never request banking passwords, complete payment credentials, or sensitive financial information through email, messaging applications, or telephone calls.
ARTICLE 5 — VERIFICATION PROCESS AND USER CONSENT
The verification process may involve the processing of sensitive personal information, including biometric and financial data.
Accordingly, users expressly authorize SODASPACE to process such information for the sole purpose of identity verification, financial validation, fraud prevention, compliance, and service delivery.
The Platform may utilize third-party verification technologies and secure infrastructure providers to support authentication, document analysis, electronic signature execution, encrypted validation records, and related compliance processes.
Users may revoke consent in accordance with applicable privacy regulations and the SODASPACE Privacy Policy. Revocation shall not affect the legality of processing activities previously completed.
ARTICLE 6 — FEES, PAYMENTS, AND REFUND POLICY
All pricing is expressed in U.S. dollars (USD) unless otherwise stated and excludes applicable taxes.
Charges for individual verification services become non-refundable once the validation process has commenced, except in the event of documented technical failure directly attributable to SODASPACE or duplicate billing errors.
Corporate service terms, billing schedules, and refund conditions shall be governed by the applicable SLA.
ARTICLE 7 — ACCEPTABLE USE POLICY
Users agree to use the Platform in compliance with applicable laws, ethical standards, and these Terms.
The following actions are strictly prohibited:
Providing false, incomplete, or misleading information.
Attempting identity fraud or using falsified documentation.
Manipulating or altering verification credentials or digital certificates.
Attempting to reverse engineer, decompile, or extract proprietary Platform technology.
Using automated systems, bots, or scripts that exceed normal human use.
Using the Platform for unlawful, fraudulent, or harmful activities.
Commercial resale or unauthorized redistribution of Platform credentials or certifications.
SODASPACE reserves the right to suspend or terminate accounts that violate these Terms without prior notice.
ARTICLE 8 — THIRD-PARTY SERVICES AND TECHNOLOGY PROVIDERS
The Platform may integrate services provided by independent third-party technology vendors.
Users acknowledge that certain functionalities rely on external infrastructure providers and that SODASPACE is not liable for interruptions, policy changes, or service failures attributable to such third parties.
Additional information regarding integrated service providers may be made available through the Platform or Privacy Policy.
ARTICLE 9 — INTELLECTUAL PROPERTY
All Platform content, including software, workflows, interfaces, branding, graphics, algorithms, verification methodologies, and related intellectual property, are owned exclusively by SODASPACE or its licensors and are protected by applicable intellectual property laws.
Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purposes.
No content or technology may be copied, modified, distributed, reverse engineered, or commercially exploited without prior written authorization from SODASPACE.
ARTICLE 10 — LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, SODASPACE shall not be liable for:
Direct, indirect, incidental, consequential, or punitive damages arising from use of the Platform.
Decisions made by housing operators regarding lease approvals.
Interruptions or failures caused by third-party services or infrastructure providers.
Breaches of agreements executed between users and third parties.
Unauthorized account access resulting from user negligence.
Inaccurate information provided by users.
In all cases, SODASPACE’s aggregate liability shall not exceed the total amount paid by the user to SODASPACE during the twelve (12) months preceding the event giving rise to the claim.
ARTICLE 11 — INDEMNIFICATION
Users agree to defend, indemnify, and hold harmless SODASPACE, its affiliates, officers, employees, contractors, and partners from any claims, liabilities, damages, losses, costs, or expenses arising from:
Violation of these Terms.
False or misleading information submitted by the user.
Violation of third-party rights.
Breach of contractual obligations involving third parties.
ARTICLE 12 — MODIFICATION, SUSPENSION, AND TERMINATION
SODASPACE reserves the right to modify these Terms at any time.
Unless otherwise required by law, modifications shall become effective thirty (30) days after publication on the Platform.
SODASPACE may suspend or terminate user access for violations of these Terms, suspected fraudulent activity, legal requirements, prolonged inactivity, or operational discontinuation of the Platform.
ARTICLE 13 — GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the Republic of Colombia, together with applicable international data protection and consumer regulations where relevant.
Any dispute arising out of or relating to these Terms that cannot be resolved amicably shall be submitted to the competent courts of Bogotá D.C., Colombia.
ARTICLE 14 — ALTERNATIVE DISPUTE RESOLUTION
Prior to initiating judicial proceedings, the parties agree to attempt resolution through:
Direct negotiation.
Mediation before an authorized dispute resolution center.
Arbitration or ordinary jurisdiction, where applicable.
ARTICLE 15 — GENERAL PROVISIONS
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Failure by SODASPACE to enforce any provision shall not constitute a waiver of its rights.
These Terms constitute the entire agreement between the parties regarding use of the Platform.
